      This “Agreement” is regarding Producer’s (circle one ) MP3 Lease (FLASH SALE) (Contract Preview Only) license of the above-named beat to Artist for the following uses in consideration of the “License Fee” amount of: $30.00.

      Term: This license is granted for a term of: 2 years or by termination of the Term as set forth below. Any extension thereof must me in writing.

      Master Use:

      Producer licenses to Artist the Beat for use in one master recording (the “Master”) which comprises the Beat Preview Track Only and any lyrics or vocals by Artist or any other vocalist engaged by Artist. Producer shall not be responsible for any costs or fees with respect to the recording of any vocals or paying any fees to any other contributor the Master.

      Producer currently owns 100% of the rights in the master recording and composition of the Beat. Once vocal recordings are recorded over the beat pursuant to this agreement, thus creating the Master, Producer will retain 50% of the rights to the composition embodied in the Master, and Producer will always retain 100% of the rights in the Beat itself. Artist is responsible for paying directly to Producer, Producer’s share of income from the exploitation of the composition embodied in the Master Recording.

      Producer hereby grants to Artist a non-exclusive license to use Master Recording in the reproduction, duplication, manufacture, and distribution of digital downloads digital downloads, and to be licensed to online streaming and music video platforms (collectively, the “Recordings”, and individually, a “Recordings”) worldwide for up to the pressing or selling a total of 2500 copies of such Recordings or any combination of such Recordings.

      Synchronization Rights. The Producer hereby grants limited synchronization rights for one (1) music video streamed online (Youtube, Vimeo, etc..) for up to 50000 streams total on all websites. A separate synchronization license will need to be purchased for distribution of video to Television, Film or Video game.

      Performance Rights: Producer here by grants to Artist a non-exclusive license during the term to use the Master in performances, shows, or concerts.

      Credit. Artist shall acknowledge the original authorship of the Beat as “producer” and underlying composition as “writer” appropriately and reasonably in all media and performance formats under the “Producer Professional Name” set forth above in writing where possible and vocally otherwise.

      Exclusive Election : Sometimes a Beat and an artist’s vocal recordings will produce a hit record. In that event, Artist, or Artist’s distributor or record label may wish to have the exclusive right to this Beat. Artist may exercise this option with a payment of: $ 3 500. If Artist elects exclusive rights to this Beat, Artist and Producer will negotiate in good faith an exclusive rights agreement to artist. In no event will any agreement for exclusive rights contain a royalty of less that 3% under the traditional Purchase Price to Dealer formula or less than 25% of Artist’s total net receipts and such rates cannot be diminished by Artist’s agreement to engage any other individual to contribute to the Master.

      Termination/Producer’s Election of Exclusivity: This license may be terminated at any-time by Producer for a breach of this contract or if Producer or any other licensee elects to retain exclusive rights to the Beat. In such an event, Producer will pay back Artist a pro-rata share of the License Fee calculated by dividing the fee by the total number of days in the Term (i.e. 5 year term = 1825 days) and multiplying that number by the remaining days in the term. Within 15 days’ notice to Artist of Producer’s, or any other artist’s election of exclusivity, Artist will use best efforts to remove the Master from all publicly accessible platforms.

      If the Artist fails to account to the Producer, timely complete the payments provided for hereunder, including payment of Producer’s share in the composition of the Master, or perform its other obligations hereunder, including having insufficient bank balance, the Producer shall have the right to terminate License upon written notice to the Artist. Such termination shall render the recording, manufacture and/or distribution of Recordings for which monies have not been paid subject to and actionable infringements under applicable law, including, without limitation, the United States Copyright Act, as amended.

      Limitations: No license is granted to re-record, or remix the Beat in any way or to use the underlying composition in the Beat other than as recorded by Producer. Artist agrees that Artist will not use the underlying Composition in the Beat.

      Samples: Producer Agrees to notify Artist of any samples contained in the Beat. Any sample clearance needed to exploit the Master is the responsibility of Artist. Artist holds Producer harmless pursuant to the following Indemnification clause for Artists failure to obtain proer licensing for any Sample which producer discloses to Artist

      Indemnification: Artist agrees to indemnify and hold Producer harmless from and against any and all claims, losses, damages, costs, expenses, including, without limitation, reasonable attorney’s fees, arising of or resulting from a claimed breach of any of Artist’s representations, warranties or agreements hereunder and the infringement of any third party’s rights or violation of law due to Artist’s contribution to the Master. Should any such claim arise, this license shall be immediately terminated and Artist only shall be responsible for any liability of such claims.

      Miscellaneous: This license is non-transferable and is limited to the Beat specified above, and constitutes the entire agreement between the Producer and the Artist relating to the Beat and the Master, and shall be binding upon both the Producer and the Artist and their respective successors, assigns, and legal representatives. This Agreement may be signed in electronic form and can be signed in separate counter-parts that will be deemed the same agreement. This License is governed by and shall be construed under the law of the FINLAND, without regard to the conflicts of laws principles thereof.
